Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CerebroChain platform, including the web console, marketing pages, marketplace, and any related services (the "Service") provided by CerebroChain LLC, a Nevada limited liability company and wholly owned subsidiary of OFO Development LLC ("CerebroChain", "we", "us"). By creating an account or accessing the Service, you accept these Terms.

The Service

CerebroChain provides software-as-a-service for warehouse management, logistics execution, and operational intelligence, including the Cerebrix AI capability and the bot marketplace. Specific features available to your tenant depend on the plan tier you are subscribed to (see Pricing).

Accounts

You are responsible for safeguarding your authentication credentials and any actions taken under your account. Notify us promptly via the contact form if you suspect unauthorized access.

Acceptable use

You may not use the Service to (a) violate applicable law, (b) infringe third-party intellectual property rights, (c) introduce malicious code, (d) attempt to access another tenant's data, or (e) reverse-engineer the Service except where expressly permitted by law. Cerebrix tool calls that mutate tenant data are logged in the audit log and you remain responsible for the resulting writes when you approve them.

Bot marketplace

Bots in the marketplace are authored by CerebroChain or by third-party vendors. Vendor bots operate against your tenant data under the authorizations you grant on activation. You may pause or remove a bot at any time. Account credits used to pay bot invocations are non-refundable except as required by applicable law.

Billing

Plan fees are billed in US dollars on a per-seat-per-month basis, in advance, and are non-refundable except where required by applicable law. Credit purchases are likewise billed in US dollars. Tax may be added where applicable. We may change pricing with at least 30 days' notice for the next billing cycle.

Data

You retain ownership of the operational data you upload or generate through the Service. We process that data to operate the Service per our Privacy Policy. You may export your data at any time via the Reports surface.

Suspension and termination

We may suspend the Service for non-payment, suspected security compromise, or violation of these Terms. You may terminate your subscription at any time; termination is effective at the end of the current billing cycle.

Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. CerebroChain does not warrant uninterrupted or error-free operation.

Limitation of liability

To the maximum extent permitted by law, CerebroChain's aggregate liability arising out of or related to these Terms or the Service will not exceed the fees you paid for the Service in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

Changes to these Terms

We may update these Terms from time to time. Material changes take effect 30 days after notice via in-app announcement or email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Nevada.
